1. Acceptance of Terms
By accessing or using the Qilo platform, website, applications, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.
These Terms constitute a legally binding agreement between you and Oikos Market, Inc dba Qilo, a Delaware corporation (“Qilo”).
2. Description of the Service
Qilo is a technology platform that enables buyers and sellers to participate in self-directed residential real estate transactions through structured digital workflows, verification tools, document generation, and optional access to independent third-party professional services.
Qilo is not a real estate broker, agent, attorney, lender, escrow company, or fiduciary.
Qilo does not represent buyers or sellers and does not provide legal, tax, financial, or real estate advice.
Qilo does not review documents for legal sufficiency. All decisions, negotiations, and transaction outcomes are the sole responsibility of the users.
3. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. By using Qilo, you represent and warrant that you meet these requirements.
4. Account Registration & Verification
Certain features of the Service require account registration and identity or ownership verification.
You agree to:
- Provide accurate, complete, and current information
- Complete identity, ownership, or transaction-readiness verification when required
- Maintain the confidentiality of your login credentials
Qilo may restrict, suspend, or deny access to features if verification requirements are not satisfied.
5. Platform Role & No Agency Relationship
Qilo acts solely as a technology facilitator.
- No agency, partnership, joint venture, or fiduciary relationship is created
- Qilo does not negotiate, price, or advise on transactions
- Any professional services (including title, escrow, inspections, legal services, or advisors) are provided by independent third parties, not Qilo
6. SMS Communications
By providing your phone number and checking the SMS consent box during registration, you agree to receive transactional text messages from Qilo, including verification codes, document signing reminders, and transaction status updates. Message and data rates may apply. Consent to receive SMS is not required as a condition of using the Service. You may opt out at any time by replying STOP to any message.
7. Fees, Payments, and Refunds
Qilo charges flat fees for certain services, including listing packages and transaction-related services. All fees are disclosed prior to purchase.
Unless explicitly stated otherwise:
- Fees are earned when access to the service or listing is provided
- Fees are non-refundable, including if a transaction does not close
- Qilo is not responsible for failed transactions due to pricing decisions, market conditions, user behavior, or third-party performance
Payments are processed through third-party payment processors. Qilo does not store full payment credentials.
8. Market Conditions Disclaimer
Real estate markets vary by location and over time. Qilo does not guarantee:
- Buyer demand
- Pricing outcomes
- Speed of sale
- Number of offers
- Transaction completion
Visibility on the platform does not ensure a successful transaction.
9. User Responsibilities
You agree to:
- Provide truthful and lawful information
- Ensure you have the legal right to list or transact
- Review all documents before signing
- Conduct independent due diligence
- Comply with all applicable laws and regulations
Qilo is not responsible for errors, omissions, or decisions made by users or third parties.
10. Prohibited Activities
You may not:
- Misrepresent identity, ownership, or intent
- Engage in fraud or deceptive practices
- Use automated tools to scrape or disrupt the Service
- Upload unlawful, misleading, or infringing content
- Harass or abuse other users
- Attempt to reverse engineer or interfere with the platform
Violations may result in suspension or termination.
11. Intellectual Property
All platform content, software, workflows, and branding are owned by Qilo or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
QILO MAKES NO WARRANTIES REGARDING TRANSACTION OUTCOMES, THIRD-PARTY SERVICES, OR USER PERFORMANCE.
13. Limitation of Liability
To the maximum extent permitted by law, Qilo shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or transaction failure.
Qilo’s total liability shall not exceed the fees paid by you to Qilo in the preceding twelve (12) months.
14. Dispute Resolution & Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
Arbitration shall be conducted on an individual basis and may be conducted remotely. You waive the right to participate in class actions or jury trials.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
16. State-Specific Transaction Disclosures (Arizona)
For transactions involving property located in Arizona:
- All required property disclosures, forms, and transaction obligations are governed by Arizona law
- Buyers and sellers are responsible for complying with applicable Arizona statutes and regulations
- Qilo does not provide brokerage services and does not assume responsibility for transaction-level regulatory compliance
17. Modifications
Qilo may update these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.
